Terms of Service for Consulting Engagements

Acceptance of Terms

By engaging Pro Productive Consulting, you agree to these Terms of Service. These terms govern all consulting projects, including discovery phases, implementation, and follow-up sessions. If you do not agree, do not proceed with the engagement.

Scope of Services

Services are defined in a mutually executed Statement of Work (SOW) which specifies deliverables, milestones, and fees. We reserve the right to adjust timeline if client fails to provide necessary access or resources. Add-on services require separate SOW.

Payment Terms and Cancellation

Invoices are net 30 days. Late payments accrue interest at 1.5% per month. Client may cancel with 30 days written notice; any fees for work completed are non-refundable. For early termination, client pays 50% of remaining contract value.

Intellectual Property

All deliverables (reports, frameworks, tools) are owned by client upon full payment. Our pre-existing methodologies and templates remain our IP. Client grants us a non-exclusive license to use anonymized data for benchmarking.

Limitation of Liability

Liability is capped at total fees paid in the prior 12 months. We are not liable for consequential damages, loss of profits, or interruptions. This limitation does not apply to claims of willful misconduct or breach of confidentiality under MNDA.

Dispute Resolution

Disputes are resolved through binding arbitration in Travis County, Texas, under JAMS rules. Each party bears its own costs. Class actions are waived. This agreement is governed by Texas law.
